Blackfriars Automation - Standard Client Agreement

Parties

This Agreement is between:

The Client named in the proposal, quotation or invoice.

1. Services

Blackfriars Automation shall provide the services described in the proposal, quotation, statement of work or invoice.

2. Deposit

A non-refundable deposit of 50% of the total project value is required before work commences.

The deposit secures project scheduling, planning, consultation, research and resource allocation.

The deposit is non-refundable under all circumstances except where Blackfriars Automation is unable to commence the project.

3. Payments

Remaining balances are payable according to the agreed payment schedule.

Final deliverables may be withheld until full payment is received.

Late payments may incur:

  • Interest at 8% above the Bank of England base rate
  • Reasonable debt recovery costs

4. Scope Changes

Any work outside the agreed scope will require:

  • Written approval
  • Additional fees
  • Revised timelines

5. Client Responsibilities

The Client shall:

  • Provide required information promptly
  • Provide approvals within reasonable timescales
  • Supply access credentials where required
  • Ensure they have rights to all materials provided

Project delays caused by the Client may result in revised delivery dates.

6. Intellectual Property

Upon full payment:

  • The Client receives ownership of final approved deliverables specifically created for them.

Blackfriars Automation retains ownership of:

  • Methodologies
  • Templates
  • Internal tools
  • Reusable code libraries

We may reuse general knowledge, experience and techniques developed during the project.

7. Confidentiality

Both parties agree to keep confidential information private.

Confidential information includes:

  • Internal processes
  • Trade secrets
  • Technical documentation

This obligation survives termination of the Agreement.

8. Use of Freelancers and Subcontractors

The Client acknowledges that Blackfriars Automation may engage freelancers, subcontractors and specialist partners to assist with project delivery.

All subcontractors shall be bound by appropriate confidentiality obligations.

Blackfriars Automation remains responsible for project management and delivery.

9. Third-Party Services

Projects may rely on third-party providers including:

  • Cloud services
  • Software integrations

We are not responsible for outages, policy changes, pricing changes or failures of third-party services.

10. Warranties

Services are provided using reasonable skill and care.

No guarantee is given regarding:

  • AI-generated content accuracy

11. Limitation of Liability

To the fullest extent permitted by law:

Our liability shall be limited to the total fees paid by the Client under the project.

We shall not be liable for:

  • Loss of business opportunities
  • Indirect or consequential losses

12. Termination

Either party may terminate the Agreement in writing.

Upon termination:

  • Deposits remain non-refundable.
  • Work completed up to termination becomes immediately payable.
  • Access to services may be suspended until outstanding invoices are settled.

13. Portfolio Rights

Unless agreed otherwise in writing, Blackfriars Automation may display completed work in its portfolio, website, social media and marketing materials.

Confidential information will not be disclosed.

14. Force Majeure

Neither party shall be liable for delays caused by circumstances beyond reasonable control.

15. Governing Law

This Agreement is governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

3. DEPOSIT

A non-refundable deposit equal to 50% of the total project fee is required before work commences.

The deposit is non-refundable once work has commenced.

4. PAYMENT TERMS

The Client agrees to pay all invoices by their due date.

Unless otherwise agreed:

Blackfriars Automation reserves the right to suspend work if payments become overdue.

Late payments may incur:

  • Interest at 8% above Bank of England base rate
  • Debt recovery costs
  • Legal recovery costs

5. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide accurate information
  • Supply requested content
  • Respond to approvals promptly
  • Provide access credentials where necessary
  • Ensure ownership of all supplied content

Project delays caused by the Client may result in revised timelines.

6. OUTSOURCING & SUBCONTRACTORS

The Client expressly acknowledges and agrees that Blackfriars Automation may utilise employees, contractors, freelancers, agencies, specialist consultants, offshore teams and subcontractors to fulfil all or part of the services.

Blackfriars Automation retains full responsibility for project management and service delivery.

The Client shall have no direct contractual relationship with any subcontractor engaged by Blackfriars Automation.

All subcontractors shall be subject to appropriate confidentiality obligations.

The use of subcontractors shall not constitute a breach of this Agreement.

7. CONFIDENTIALITY

Both parties agree to keep confidential all non-public information disclosed during the course of the project.

  • Client data
  • Trade secrets
  • Internal systems
  • Processes
  • Technical documentation

Confidentiality obligations survive termination of this Agreement.

8. INTELLECTUAL PROPERTY

Upon full payment:

Blackfriars Automation retains ownership of:

  • Templates
  • Internal systems
  • Proprietary methods
  • Automation frameworks
  • Reusable code libraries
  • Standard operating procedures
  • AI implementation methodologies

Blackfriars Automation may reuse general knowledge, experience and know-how acquired during the project.

9. THIRD-PARTY SOFTWARE

Projects may utilise third-party software including:

  • CRM systems
  • Hosting providers
  • AI providers
  • Analytics platforms
  • Cloud services
  • Automation platforms

Blackfriars Automation is not responsible for:

  • Third-party outages
  • Platform policy changes
  • Software defects
  • Pricing changes
  • Service interruptions

10. WARRANTIES

Services are provided using reasonable skill and care.

No guarantee is made regarding:

  • Search rankings
  • Conversion rates

11. LIMITATION OF LIABILITY

Blackfriars Automation’s total liability shall not exceed the total fees paid by the Client under the applicable project.

Blackfriars Automation shall not be liable for:

  • Loss of goodwill
  • Indirect losses
  • Consequential losses

12. TERMINATION

Either party may terminate this Agreement in writing.

Upon termination:

  • Deposits remain non-refundable
  • Completed work becomes immediately payable
  • Outstanding invoices become due immediately

13. PORTFOLIO RIGHTS

Unless otherwise agreed in writing, Blackfriars Automation may display completed work within:

  • Website portfolio
  • Marketing materials
  • Social media
  • Sales presentations

Confidential information will not be disclosed.

14. GOVERNING LAW

This Agreement shall be governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
